These Terms govern use of Agendaly by businesses, staff users, and authorised users. Agendaly is operated by Agendaly, Inc. (entity details to be confirmed), trading as Agendaly.
1. What Agendaly does
Agendaly provides booking, customer communication, payment/deposit workflow, a customer portal, a dashboard, and related tools for service businesses, including WhatsApp booking flows, public booking pages, reminders, waitlists, broadcasts, classes, intake forms, packages, and credits.
2. Pilot / beta use
If you are using Agendaly during an early pilot or beta, some features may change, be limited, disabled, or improved over time. Agendaly may disable features where needed for reliability, security, payment safety, compliance, or customer experience.
3. Business responsibility
Businesses are responsible for accurate services, prices, staff, availability, and policies; honouring confirmed bookings; verifying manual/MoMo payments; handling customer disputes; complying with applicable laws; obtaining appropriate customer consent for communications; respecting opt-outs; ensuring staff use the system correctly; and reviewing setup before going live. Agendaly provides software. It does not operate the business, provide the service, or act as the business’s receptionist.
4. WhatsApp messaging
Agendaly sends WhatsApp messages through WhatsApp/Meta infrastructure on behalf of a business. Businesses must only contact customers where they have an appropriate basis to do so and must respect opt-outs. Delivery is subject to WhatsApp/Meta policies, templates, and limits, and is not guaranteed.
5. Broadcasts and acceptable use
Broadcasts must not be used for spam, misleading messages, unlawful marketing, or contacting customers who have opted out. You must not use Agendaly to send spam, bypass opt-outs or consent controls, mislead customers, upload malicious content, access another business’s data, abuse WhatsApp or payment systems, or violate law or third-party rights. Agendaly may limit, pause, or disable broadcasts or accounts that create risk or policy issues.
6. Payments and MoMo/manual verification
Agendaly may support payment links or payment status updates through third-party providers. Provider fees, chargebacks, settlement delays, and provider rules are the responsibility of the business unless otherwise agreed. Where MoMo/manual payment proof is used, a screenshot is evidence only and is not automatic confirmation that funds have been received. The business must verify funds before treating payment as confirmed. Agendaly does not verify manual payments or guarantee that a screenshot is genuine.
7. Classes, intake forms, packages, and credits
Businesses are responsible for the content, rules, pricing, expiry, eligibility, and promises attached to classes, intake forms, packages, credits, memberships, gift cards, discounts, and redeemables, and should only collect intake information that is necessary and appropriate for the service.
8. Fees and cancellation
Fees are shown during signup, onboarding, invoice, or agreed pilot terms, and unless otherwise agreed are billed in advance. Payment provider and messaging costs may be separate. You may cancel according to your plan or pilot terms; on cancellation Agendaly may disable new bookings, pause the bot, or move the account to read-only. Data export may be available for a limited period.
9. Third-party services, availability, and IP
Agendaly relies on third-party services (WhatsApp/Meta, payment, hosting, email, database, calendar, monitoring) and is not responsible for their outages, policy decisions, delivery failures, or restrictions. Agendaly may change, improve, limit, or discontinue features. Agendaly owns the software, design, and platform IP; businesses own their content and customer relationships, subject to Agendaly’s right to process them to provide the service.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, Agendaly is not liable for indirect losses, lost profits or revenue, customer disputes, no-shows, payment reversals, fake payment screenshots, WhatsApp delivery failures, or third-party provider failures. Agendaly’s total liability is limited to the amount paid by the business during the relevant period, unless a higher amount is required by law.
